After receiving a bachelor's degree, Jay Calhoun worked at IBM and then went to work for notable non-profit organizations in New York. After gaining valuable experience, Jay took that experience and began working for prestigious colleges in a variety of administrative positions, including Assistant Dean of Students at a prestigious New England women’s college. Jay then obtained a master’s degree and shortly thereafter enrolled in Arizona State University College of Law.

During law school, Jay was the first recipient of the Mark Wilmer Integrity Award. She also won first prize for Arizona State University, Nathan Burkan Award (ASCAP) for her paper entitled Copyright, Faculty and the University Concept of Substantial Use of Resources – Who owns what? After law school, Jay clerked for the Honorable Patricia A. Orozco, State of Arizona Court of Appeals. After her clerkship, Jay worked for two boutique business law firms and was in-house counsel for a major dietary supplement company in Chandler, Arizona. In 2009, Jay opened her own firm and happily continues her business law practice and pro bono work.

Jay Calhoun is an experienced Arizona business attorney practicing primarily in the areas of corporate law, trademark, copyright, licensing, technology law, and mergers and acquisitions. Her primary role is serving as a trusted advisor to entrepreneurial and family-owned businesses of all sizes. Her experience and training in business law provide her with the background to counsel her clients on a wide variety of legal issues including strategic business relationships; software development contracts, licensing agreements and other technology issues; sales agency and other distribution matters; and employment issues and executive compensation arrangements. Her clients range from start-ups seeking guidance on formation of their business entity, to established companies looking to fuel their growth, to mature family-owned companies planning to expand their business. She provides advice on buying a business for those starting out or expanding their existing operations and counsels others on selling their business or pursuing other exit strategies.

Business Counseling and Corporate Law

Ms. Calhoun serves as a business lawyer to entrepreneurial and family-owned companies in such diverse activities as business development, business transactions, software development, retailing, distribution, manufacturing, consulting and other organizations. With most of her small business clients, Ms. Calhoun essentially serves the same role that an in-house counsel provides at much larger companies. Her broad experience in key areas allows her to provide guidance on many issues, bringing in other attorneys only when their expertise in their own areas is called for. She takes pride in digging in and understanding the client's underlying business. That knowledge, together with his strong background in accounting and business, gives him a unique ability to bring added value to the attorney-client relationship.

Intellectual Property Law

Ms. Calhoun has significant experience in securing and protecting a business' intellectual property, including trademarks, copyrights, know-how and trade secrets, through combinations of registrations, contractual restrictions and licensing agreements. She has also successfully defended trademark oppositions with the United States Patent and Trademark Office.
